So called ‘penalty clauses’ are contractual terms that specify what damages are payable if that contract is breached. They are therefore a key provision in most high value commercial contracts. The principles of law that regulate their enforceability have ancient origins that predate the modern English law of contract. Recently, for the first time in over a century, in Cavendish Square Holdings v Makdessi the Supreme Court, the highest appellate court in the UK, reviewed the control of such clauses in a wide ranging judgment. The Supreme Court rejected appeals to abolish any control of such clauses and instead, supported by historical and comparative analysis, chose to radically restate the law on this topic in the longest judgment of the year. This lecture will, concisely, explain and criticise the reformulation of the law in that case. 主讲人简介：
Professor Halson joined the University of Leeds as a Professor of Contract and Commercial Law in 2003 and was Head (Dean) of the School of Law from 2007-2011. He is currently the International Director for the Faculty of Education, Social Sciences and Law. Previously he was a member of the academic staff at Nottingham University and University College London for 11 years. He completed his undergraduate and postgraduate law degrees at the Universities of Newcastle and Oxford.
Professor Halson is interested in all aspects of the law of obligations, particularly contract law and the law of remedies including comparative, economic, empirical, historical, theoretical and practical analyses. He is the author or contributor to five books on contract law and remedies, editor of a book of collected essays and has contributed substantial articles to many leading journals including the Law Quarterly Review, Oxford Journal of Legal Studies, the Lloyds Maritime and Commercial Law Quarterly and the Chinese Journal of Comparative Law. His work has been referred to in the UK House of Lords, as well as appellate courts overseas. In addition he has been invited to comment upon several law reform initiatives. He is currently working upon a new monograph for Oxford University Press on liquidated damages and penalty clauses.
In 2015 Professor Halson was awarded by the Shanghai Municipality a Visiting Overseas Distinguished Scholar Award at East China University of Political Science and Law for 2015-16 and spent 8 weeks in China in 2015/16. Previously he was awarded British Academy grant under their International Partnership and Mobility Scheme IPM 2012 for a comparative law project on Argentinian and English contract law reform and papers were presented in Leeds, London, Buenos Aires and Montevideo.
